Banking & finance - Project financing
GHDP has a well-established experience in advising Italian and international banks,
merchant operators, financial intermediaries, financial instruments'
issuers and underwriters, borrowers and guarantors in connection with all
legal aspects of banking, financial and securities markets transactions,
including syndicated loans, real estate financing, subordinated loans,
real and personal guarantees, shares, convertible and exchangeable
bonds and other instruments& issues, assignments of receivables,
interest, credit default and equity swaps.
Regarding project financing initiatives, the Firm usually provides
assistance to both financial institutions and project promoting
entities on all the main phases of project financing. The breadth and
depth of our project finance experience covers many industry sectors
including: oil and gas, energy, real estate, power, telecommunications,
transportation/infrastructure and water and waste.
Our banking group has, inter alia, specific expertise
in assisting and advising clients in the following practice areas:
- negotiation and drafting of securities lending agreements,
first demand guarantees, bank guarantees, patronage letters;
- negotiation and drafting of bilateral and syndicated
loan agreements, also concerning leveraged buy-out transactions,
equity and quasi-equity financing (e.g. revolving, in pool,
limited recourse, subordinated, soft loan, bridge loan, mezzanine, etc.),
and the relative security package (e.g. pledge over shares, pledge over
trademarks, pledge over receivables, etc.) as well as mortgage
loan agreements;
- negotiation and drafting of all financing agreements
in relation to project financing transactions (e.g. loan
agreements and related financial documents) as well as
in structuring and drafting the security package;
- structuring and closing all securitisation transactions,
including drafting the offering circular and all other
offering documents as well as liaising with the competent
supervisory authorities;
- drafting and negotiation of debt restructuring and turn-around agreements.
