Sergio Esposito Farber
Sergio Esposito Farber focuses his practice on real estate, banking & finance,
mergers & acquisitions, capital markets and corporate. He has significant experience
with respect to financing agreements, syndicated loan agreements, project financing
including collateral security packages, transactions involving the offering of
shares and convertible bonds in Italy and drafting of underwriting agreements.
He is well versed in corporate finance practice involving transactional work in the
areas of domestic and cross-border mergers and acquisitions, joint ventures, listing
procedures on the Italian stock exchange, drafting of prospectuses and of any
related documentation required.
His practice in the real estate area includes assistance to developers, corporations
as well as state-owned entities with the acquisition, development and disposition
of multi asset portfolios including commercial and residential properties,
offices and industrial premises.
Sergio assisted US corporations investing in Italy ad well as in the offering of stock
options to the employees of their Italian subsidiaries as well as foreign harmonized
UCITS with respect to their marketing activity in Italy and their filing with
the Italian regulators.
Sergio commenced his career in 1998. He spent five years at Studio Legale Tonucci in
the Corporate Finance Department and then experienced "in-house counsel" practice for the
state-owned company Fintecna S.p.A. (2005-2007).
He received post-graduate legal education from Fordham University School of Law
(LL.M. in International Business and Trade Law).
He speaks fluent English.
